Introduction

The main purpose of this paper is to make discussion on the corporate governance of National Health Services. Currently, there is a great need of reforms and links by NHS in order to bring changes to corporate changes. This paper makes discussion on the performance and quality issues. The current governance issue, through which the NHS is going these days, is the issue with most of the trusts. The issue is based on the measurement of the quality of trusts. The paper discusses that there is a great need of reforms for the future of the NHS.

Company Overview

The National Health Service has its basis on the principle that everyone has the right to health, regardless of their economic and employment situation. The State takes full responsibility for ensuring this right managing and funding through the general budget. It manages the health service that integrates, organizes and standardizes all health functions, which should allow the passage of a conception of the disease led by a practice health care based on equality for all (Adams, 2002, p. 223). The main features of this model are:

1. Universalisation of care: Covers 100% of the population, regardless of their economic and their social security affiliation.

2. Accessibility and de-concentration. To ensure equity in access to services has instrumentalised health regionalization based on placing the different health services, as close as possible to where people live and work. The aim is to reduce the concentration of health facilities in urban areas.

3. Decentralization. In the current trend is to decentralize the management of health resources, for it has undertaken reforms in the organization of the health system to ensure greater responsiveness on the part of professional services and the needs and aspirations of citizens. They tend to involve the community in making decisions about spending and management mode using the services.

4. Primary. The National Health Service which is the basis of health care is primary health care.

Theoretical Approach to Corporate Governance

When it comes to define the concept of corporate governance, there is no universally accepted definition of the said phenomenon. The definition of corporate governance varies from one country to another. This is primarily because each country is different from the other in terms of their culture, historical development as well legal system (Stovall, 2004, p. 221). The definition of corporate governance has determined in terms of the ways in which a firm's finance suppliers make sure they would get a good Return on Investment (ROI).

This definition is deficient because it lays emphasis on financial supply but does not distinguish the relationship that exists between the firm and the legion of stakeholder, who have varying interests and they have to be taken care of. For this reason, corporate governance has also represented as a collective grouping of individuals, who have unified into a body with authority and power to control things, give directions, and rule and organization (Stainer, 2002, ...
