Abstract

The research paper is based on the Companies Act 2006. This paper discusses the various resources I will be using in my final project to write on the stated topic and the various issues that have been required to be covered under the paper. My research will primarily be related to articles written in the research journal published in the year after 2000.

Companies Act 2006

Introduction

In the discussion part of the paper I will discuss the various resources from where I will be doing my research from to help me understand and broaden my knowledge on the Companies Act 2006. This expansion will help me write a quality research paper in which I will be discussing thoroughly the issues and effectiveness of this legislation document. In my discussion I will mostly cover the journals, article or books where I will be taking the information from. Little introduction of the author will be mentioned and the main idea or abstract of the article to give a brief account of what the author has tried to say.

Companies Act 2006 is a legislation formulated to be applied on the companies on the whole. The previous version was the Companies Act 1985 that was changed to include several other objectives that was lacking in the previous manuscript of the legislation. Since 1985 many changes have occurred in the way business is done and the various elements that are involved in the business itself. So the government established the Company Law Review Group charged with the assignment of changing and modernizing the previous law according to the situations taking place in business today.

“Companies Act 2006- revolution or Evolution”

A very interesting article was written by John Birds that was published in Managerial Law now known as International Journal of Law and Management. About the author, John Birds is the head of department of Law at University of Manchester. He was also the president of Society of Legal Scholars. This society has an international presence and specializes in legal research. The Journal of Law and Management broadly covers topic from Business Ethics and Law. It was previously published under the name of Managerial Law in which Jon Birds published his article.

When the act was implemented in 2006 a government spokesperson claimed that it will simplify and benefit the incorporation and running of private companies. The article was written in response to question the claim whether Companies Act fulfilled what it claimed or not. As obvious from the text above the article critically examines the claim made by government. The author's findings say that on the whole the Act did present some good changes beneficial for the stakeholders of a business but even if they are added up they hardly can be categorized as a revolution.
