Case Overview

The case revolves around the person named Ralph Caton, who was employed at Leach Corporation, which is the manufacturer of the electronics and mechanical products for use in aerospace industry. Caton was a sales representative in Leach Corporation and was terminated from the corporation after his 22years of services. However, Ralph Caton filed a complaint against the Leach Corporation in which he alleged the corporation, for terminating him by breaching the contract, thus he claimed and demanded for the recovery for the breach of contract and implied contract, wrongful discharge, and amounts allegedly owed as restitution. Ralph worked in Leach for many years as a sale representative and sold many of the company's products for many years throughout the country. However, another fact is that Caton was employed at Leach from the year 1963 till June 1985, his experience count is in many capacities of the company, however his performances throughout the tenure made him promoted, and thus he became the Leach's exclusive sales representative to plead for relay switch sales in Texas. However in the year 1983 June, Caton along with Leach corporation created and developed a new agreement which they named as sales representative agreement, that actually articulates the relationship of the parties through provisions, and also exhibits and describes the duties and responsibilities Caton has to follow in terms of the sales territory, and compensation structures.

However in 1983, the agreement claims that Caton will be compensated for the services he would eventually made, will be on commission, however during the year 1984, Caton, kept leach in their notification that he is expecting the General Dynamics to place a large government order of F-16 aircraft, for which they will be requiring the relay switches. However Ralph was fulfilling his duties and responsibilities of being the sales representative of the Leach Corporation. However Caton, making his solicits with Leach's stance as a supplier of General Dynamics. However later on Caton was given a notice that his agreement of sales representative will be terminated after 30 days. However, the termination on the 30 day notice came applicable after the company had received the request of quotation; however this was the result of the forecasting of Ralph Caton. However the Leach had to supply about $12,000,000 of the equipment to General Dynamics by June 15th, 1985, however, Caton forwarded this notion himself that Leach was awarded $4.9 million in relay orders by September 6, 1985, and ultimately received $8.6 million of relay business.

However, if the case is defined in the clear terms, the reasons for the termination of Caton are naturally and disputed.
