Introduction

This paper intends to analyze the case of Langley Brothers, Inc. Langley brothers is running a corporation in Kansas and decides to float common stock worth $1million to the public. However, Joseph one of the brothers of Langley insists on getting registered with the Securities and Exchange Commission while the other Langley brother named Harry did not agree. This paper will explain the elements of Securities and Exchange Act. Further, it examines if Langley brothers are subject to registration requirement.
