Introduction

A contract initiates with an offer. The offer is a desire of readiness to enter into a contract based on specific terms. The contract being discussed in this paper is between Psy and Sweet Eats, where Sweet Eats shall be providing Psy with chocolate bars designed to aid weight loss at cost price. Psy is a global music icon that requires these chocolates for the purpose of keeping the weight of the dancers in control. The following paper discusses the elements of the legally binding contract on Sweet Eats and the liability that they may have to face if there is any violation of the terms.

Discussion

There are generally four elements that comprise of a contract; offer, acceptance, intention of legal consequences and consideration. Psy should accept the offer from the manufacturer if they offer to provide the supply on a fixed price contract. Under this contract the manufacturer has to provide the chocolates at the agreed price at the time of the contract is made (McKendrick, 2012). If they are not able to deliver the supply at the stipulated price they shall have to provide it at a loss or default on the contract. The chocolates will be supplied at a price that is lower than the price at which it is sold to the regular market.

The chocolates shall not differ in quality, and should be the same as the ones that are given to the regular market. No terms and conditions that are part of the confirmation of order, purchase order or any other document of the buyer will become a part of the contract. The contract is exclusive from the terms of the orders, and they cannot be incorporated as they vary from situation to situation.

The date of the delivery shall be within 3 days of when the order is placed. The manufacturer has to deliver the goods by the required time, and if any particular item is not available at the time of order it has to arranged and deliver as soon as possible. Sweet Eats cannot be held responsible for any delays in their delivery due to the delays caused by their supplier.
