Contract between Brenda and Jim

Contract

THIS Contract of SALES dated _____ day of January, 2013BETWEEN:

Brenda of "Brenda's Widgets, Inc.", 123 Main Street, Podunk, Iowa.

(The seller)

- AND -

Jim the Owner of hardware store at 456 First Street, Secondville, Michigan (the Purchaser)

AGREEMENTS AND CONSIDERATION OF THE COVENANTS, contained in this Sales Agreement, the parties to this Agreement agree as follows:

Sale of Goods

The Goods will be sold by The Seller to the Purchaser before, June1, 2013. The following goods will be Sold:10,000 widgets.

Price of Purchase

The price of the Goods purchased is set for $5 for each widget. The total payment will be equal to $50,000 USD that will be paid in the following manner:

10% of the total payment i.e. $5000 will be paid in advance on January, 1, 2013.

The purchaser will make the remaining payment after the Receiving of the Goods through a certified check as needed in the 4th Clause of the Agreement

The amount of payment of the future or Present sale is applicable to Tax. The purchaser will pay the tax, or the purchasing party is required to give Seller the Certificate of Tax exemption provided by the Taxation Authorities.

The purchaser will make the payment of the Goods after the notification for the receiving of the Goods, or, the Seller tender any document of title or registerable bill of purchase containing any significant endorsement to the purchaser.

Delivery of Goods

The Goods will be delivered to the Purchaser at 456 First Street, Second Ville, and Michigan. The method of delivery will be within the discretion of the Purchaser. On the other hand, it is the only responsibility of the Seller to arrange the rail freight or lesser of truck for the delivery of Good to the purchaser.

Threat of Loss

The seller will bear the Risk of loss from the delivery time to the carrier. It is the responsibility of the Seller to provide insurance for the delivery of the Goods to the purchaser.

Warranty

The seller is not allowed to assume or provide authority to other individual or party on behalf of the seller for any accountability related to the sale f the Goods.

The purchaser has the opportunity to check the Goods after delivery for their condition

It is in the authority of the purchaser to investigate and inspect the Goods after delivery. Moreover, the warranty is disclaimed by the Seller as to the Goods' condition.
