The paper highlights the literature on MNC dealings with its subsidiary countries; India and Brazil, and focuses on the problems faces in projecting continuous monitoring and reporting. It has been observed that foreign direct investment and MNC hold a local equity in the central subsidiary. Countries like India and Brazil usually face number of political and economical issues, which directly effects on the monitoring part of MNC. However, great number of MNCs is opting to invest in developing countries in ample amount, in which most of them experience important policy hazards and fragile legal institution.
